ARTICLE I - NAME
The name of the organization shall be The Little Red School House and Elisabeth Irwin High School Alumni Association.
ARTICLE II - OBJECT
The object of this Association shall be to maintain a strong and healthy bond between the members of the Association and The Little Red School House and Elisabeth Irwin High School; to stimulate and maintain among the members of the Association an interest in the activities and welfare of the School; to provide services and programs for the members of the Association; to assist the School in its growth and development; and to help raise funds for the benefit of the School.
ARTICLE III - MEMBERS
Section 1 - Automatic Membership. Anyone who has completed at least one year at either The Little Red School House or Elisabeth Irwin High School shall be entitled to full privileges of membership in the Association.
Section 2 - Honorary Membership. The Executive Board of the Association, by a three-fourths vote, may confer honorary membership on any individual associated with the School. An honorary member shall have none of the obligations of membership, but shall enjoy all of the privileges, except voting, making motions and holding office.
ARTICLE IV - OFFICERS AND EXECUTIVE BOARD
Section 1 - Officers. The officers of the Association shall be a President, Executive Vice President, Secretary, Treasurer and five Vice Presidents, who shall serve, when necessary, as chairs of the various organizational committees.
Section 2 - Executive Board. The Executive Board shall consist of all nine officers of the Association, each of whom shall be elected for two-year terms, without limitation on the number of terms they may serve. In addition, the Director of the School and the Director of Development for the School shall serve as ex officio members of the Executive Board. The Executive Board shall have full power to carry on the activities and responsibilities of the Association. A quorum for the Executive Board shall be no less than five board members. The Board shall also be empowered to establish any temporary committees or offices and shall, by a majority vote, elect additional members to fill unexpired vacancies which may arise during the two-year' term.
ARTICLE V - ALUMNI COUNCIL
Section 1 - Composition. The Alumni Council, which shall be formed each Spring at the Annual Association Meeting, shall be composed of all members of the Association who express a desire to participate in a direct way in the ongoing activities of the Association. These activities can include being a class representative, working on a committee, planning a reunion, or displaying a general willingness to help out in the ongoing activities of the Association. All nine members of the Executive Board and its two ex officio members are automatically on the Alumni Council.
Section 2 - Annual Meeting. The Alumni Council shall hold at least one meeting each year, at the conclusion of the Annual Association Meeting to be held in the Spring. Membership on the Council shall be established by attendance at this meeting and a willingness to work during the ensuing year on Association activities. Membership on the Alumni Council shall be determined by the Executive Board and be for a term of one year, without limitation on the number of terms that a person may serve. The Executive Board shall also possess the authority, by majority vote, to add or terminate the membership of any Alumni Council member.
ARTICLE VI - COMMITTEES
Section 1 - Types of Committees. The following is a list of the types of committees which the Executive Board and Alumni Council will be expected to maintain, although there is no restriction on the number or types of committees which may be established:
a. Special Events Committee
b. Education Committee
c. Fund Raising Committee
d. Membership Committee
e. Communications Committee (Publications/Newsletter)
f. Recent Graduates Committee
g. Research Committee
h. Alumni Dinner Committee
Section 2 - Composition of Committees. The President shall appoint a chair for each committee established by the Executive Board. The five Vice Presidents on the Board will be expected to serve as committee chairs. Membership on a committee is open to any member of the Association and shall be established by a procedure set forth by the Executive Board each Spring at the annual Alumni Council meeting. Membership on any committee may also be established at any time during the year by a majority vote of the Executive Board.
ARTICLE VII - NOMINATIONS AND ELECTIONS
Section 1 - The Nominating Committee. Every other year, no later than three months before the Annual Association Meeting at which elections are to be held, the Executive Board shall establish a Nominating Committee to be comprised of five or more people, two from the then-current Executive Board, and three or more non-Board members. The purpose of this Committee will be to publicize the upcoming Executive Board elections, to solicit names of qualified candidates for officer positions and membership on the Executive Board, and, ultimately, to present to the Executive Board a proposed ballot containing the names of candidates for each position for the next election of the Board.
Section 2 - Elections. Election of officers and members of the Executive Board shall be held every other Spring, during the Annual Association Meeting. Prior to the election, ballots shall be prepared by the Nominating Committee and sent to all members of the Association at least five weeks prior to the Annual Association Meeting.
ARTICLE VIII - MONIES
Section 1 - The Association shall have no treasury. All monies raised by the Association shall be raised on behalf of and received by The Little Red School House and Elisabeth Irwin High School. All expenses of the Association shall, with appropriate approval, be paid by The Little Red School House and Elisabeth Irwin High School.
ARTICLE IX - MEETINGS
Section 1 - Executive Board. The Executive Board shall hold a minimum of five (5) meetings during the year.
Section 2 - Alumni Council. The Alumni Council shall hold at least one (1) meeting each year, at the conclusion of the Annual Association Meeting to be held each Spring.
Section 3 - Annual Association Meeting. The Association shall hold at least one (1) meeting during the Spring of each year, no later than June 30. This meeting shall be properly announced and publicized to members of the Association, all of whom shall be invited to attend. The purpose of the meeting will be to receive a report from the President on the activities and plans of the Association, to form membership of the Alumni Council for the upcoming year, and, on a bi-annual basis, to elect members of the Executive Board.
ARTICLE X - AMENDMENTS
Section 1 - These Bylaws may be amended by a vote of no less than seven of the nine members of the Executive Board, as then constituted.
